How to Register a Company with CIPC in South Africa

Build your business foundation: prepare the right information, navigate the official registration process, understand the issued documents and plan your next supplier-readiness steps.

Beginner friendlyPractical tutorial + quizReviewed 14 October 2026

What you will learn

  • Distinguish a company from a sole proprietor and separate directors from owners.
  • Prepare accurate information and choose an official registration route.
  • Review the application and check the issued company records.
  • Plan banking, tax, CSD and ongoing company administration.

1. Understand what you are registering

CIPC registration creates a company record. For this lesson, the main example is a South African private company, written as (Pty) Ltd. A company is a separate legal person; a sole proprietor conducts business as an individual. Choose the structure that reflects how you intend to own and operate the business. This lesson does not suggest that every tender requires a private company.

Before selecting a form, describe your business in one sentence: what you sell, who owns it and who makes decisions. A director manages the company; a shareholder owns shares. One person may occupy both roles, but appointing a director does not by itself record that person as a shareholder. Keep ownership records as well as the director record.

A company certificate is a foundation, not proof that a business is ready for every tender. Banking, tax administration, CSD supplier registration, delivery capability and the requirements in the particular bid still need attention. Use our tender application tutorial after completing the registration and supplier-readiness steps.

2. Prepare your information and document folder

Create a private registration folder before opening the application. Have accurate records available even where the digital route verifies details electronically and does not ask you to upload a scanned document. Requirements vary with the service, applicant and identity-verification outcome; a paperless route and a supporting-document route should not be treated as identical.

PrepareWhy it helpsCheck before using it
Identity details for each directorUsed to identify the people managing the companyCopy numbers and names from the current official identity record. Ask CIPC which route applies to foreign identity documents.
Working email and cellphoneFor account access, notifications and verificationUse contacts controlled by the business or an authorised director.
Registered office and postal addressFor the company record and correspondenceCheck street, suburb, province and postal code; distinguish the physical address from a postal address.
Proposed names, if using a nameFor the name-selection processHave alternatives and check spelling; name approval is not a trade mark registration.
Director and ownership decisionsFor consistent administration after registrationRecord appointments, share allocation and who may submit the application.
Payment method and application reference logTo track the official transactionSave the reference, receipt and date; avoid paying again before checking the first transaction.

If a route requests certified identity documents, a mandate, a signed form or further evidence, follow the current instructions for that route. Do not assume that a bank checklist is also a CIPC upload checklist. Avoid uploading originals or identity records to unofficial help sites merely because they appear prominently in search results.

3. Understand the official cost and choose your route

BizPortal advertises new private-company registration at R125 without a name, or R175 including a name. These amounts were checked on 14 October 2026. An optional intermediary’s service fee is separate from the official registration charge. Check the amount on the official service before paying, especially if you select additional services or a different entity type.

Open official BizPortal or start from CIPC’s enterprise-registration page. These are official starting points. Use the route suitable for your entity and identity details. Existing CIPC customers should check the official login instructions rather than repeatedly creating profiles.

A company can begin with its registration number as its name where the selected service permits this. If you want a specific name, use the name process shown by the portal. A rejected proposed name does not establish that the underlying business idea is prohibited; choose an acceptable alternative and follow the official result. Keep the approved name consistent in your banking and supplier records.

4. Work through the online registration

Step 1 — Reach the official service and access your profile

Open BizPortal from its official address or follow CIPC’s official service links. Read the available registration options and select the service matching your entity. Register or sign in through the official customer process. Complete the verification requested on screen and keep control of the contact details used for the account.

Step 2 — Choose the company and name options

Select the applicable company type. For the worked example in this lesson, use the private-company route. Decide whether you are registering with a name or using the number-name option offered by the service. Record your name preferences before typing, so that you can spot accidental spelling changes. Check the total shown before moving to payment.

Step 3 — Capture the director and company information

Enter each director’s identity and contact particulars accurately. Work from the source records and review each completed entry before adding another person. Provide the company’s address and any other particulars requested. Where the service asks for a choice you do not understand, read its help before making a guess. Labels and screen order may change, so follow the current official prompts.

Step 4 — Review, authorise and pay as instructed

Pause at the review screen. Compare every name, identity number and address with your preparation sheet. Complete the declarations or authorisations actually requested. Make payment only through the official process and retain the transaction reference. If you lose the session after payment, check the status before starting and paying for a second application.

Step 5 — Track the outcome and download the records

Read the result and any follow-up notification. A query or verification request needs a response; it is not the same as an issued registration. Once registered, download the company registration certificate and constitutional documents made available by the service, including the applicable memorandum of incorporation. Check the registration number and the particulars on the issued documents.

5. Understand and organise the issued records

For a private company, the registration certificate is commonly identified as CoR14.3. Keep the applicable memorandum of incorporation with it. Read the documents rather than storing unread files: confirm the registered name, number and registration date. Do not use an old name-reservation result as if it were the company’s registration certificate.

Build a master company-details sheet with the legal name, registration number, registered address, directors and the person responsible for compliance. Use this sheet to check later forms, but always verify it against current source records when anything changes. Store ownership and share records alongside the formation documents; company ownership cannot safely be reconstructed from a director list alone.

Keep a protected electronic copy and a backup accessible to authorised people. Use clear filenames such as company-name-registration-certificate and company-name-MOI. Do not place identity documents, private addresses or portal passwords in a public shared folder. When a bank or buyer requests documents, send only the applicable pack through the requested secure channel.

6. Complete the next administration steps

Registration starts an ongoing responsibility. Assign an owner for CIPC annual-return administration, beneficial-ownership filings and changes to company particulars. Use CIPC’s current notices and service guidance for the applicable filing requirements and deadlines. CIPC annual returns and SARS income-tax returns are different obligations; completing one does not complete the other.

Check the company’s SARS tax-registration information and arrange authorised eFiling access. A tax number identifies a taxpayer; it is not proof of current tax compliance. SARS’s Tax Compliance Status guide explains current compliance requests. Do not reuse an individual’s tax record for a company merely because that individual is its director.

Next, use our business-bank-account tutorial to compare eligible accounts at First National Bank, Absa, Standard Bank, Nedbank and Investec Bank. Gather the bank-specific evidence and obtain the company’s correct banking particulars. Then complete CSD supplier registration and check its verification results.

If your activity needs an industry registration, licence or safety approval, identify it separately. Registering a company does not grant all permissions needed to supply regulated goods or perform specialised work. A tender can impose additional eligibility conditions even after all basic company-administration steps are complete.

7. Solve common problems without starting again blindly

ProblemFirst checkPractical next action
Identity verification failsNames and numbers against the identity recordCorrect typing errors; follow official help if the underlying identity record needs attention.
Name is not acceptedThe official name result and alternativesUse another acceptable name or the permitted number-name route; do not claim a reserved name before approval.
Payment made but no certificatePayment reference, application status and emailRetain evidence and raise a tracked query through official CIPC support; avoid duplicate payment.
Someone else controls the loginWho owns the email and cellphone usedArrange an authorised access handover through official account procedures.
Certificate contains unexpected detailsThe issued record against the submitted informationAsk CIPC about the appropriate correction or amendment service before using inconsistent records.

When asking for help, describe the service, the stage reached, the date and the error message. Keep the application reference available for official support, but do not publish identity numbers or account secrets in a social-media post. A precise problem description makes support more useful than a general message saying registration does not work.

After a correction, check the issued record again and update downstream administration where needed. Fixing CIPC particulars does not mean that every other system has already synchronised. Recheck the bank and supplier profile before relying on the corrected information in a tender submission.

8. Check your company-registration outcome

Ticking the list is a personal learning aid and does not send your information anywhere. If an item is incomplete, write a specific corrective action. For example, “download the issued MOI and check the company number” is useful; “sort out documents” is too vague to manage.

Your next lesson is opening the company bank account. Already banked? Continue to CSD registration. When these foundations are in place, our tender application guide teaches how to read the actual buyer’s requirements and prepare a compliant bid.

CIPC registration questions and answers

Is CIPC registration the same as CSD registration?

No. CIPC records the company. CSD records supplier information for public procurement. A company normally uses its accurate registration particulars when completing its supplier profile.

Must every tenderpreneur register a (Pty) Ltd?

No universal rule applies to every opportunity. Choose a legitimate business structure and check the particular buyer’s eligible supplier types. This lesson focuses on the private-company process.

What does private-company registration cost?

BizPortal advertised R125 without a name or R175 including a name when checked on 14 October 2026. Verify the current official amount and separate any intermediary’s fee from the government charge.

Do I upload the same documents on every CIPC route?

No. Digital verification and supporting-document requirements differ by service and applicant. Prepare accurate identity and company information and follow the current route’s instructions.

Can I apply for a tender immediately after receiving my certificate?

Only if you also meet that tender’s requirements. Banking, tax, supplier verification, capacity and any required licences or registrations may still be outstanding.

Does registration mean the company is tax compliant?

No. Check the company’s tax registration and current SARS compliance separately. A registration certificate and a tax number do not establish current tax compliance.

What if my director or address details change?

Use the appropriate official amendment service and recheck the issued record. Update related bank, tax and supplier information where applicable; do not keep using conflicting particulars.

Can Fund The People register my company for me?

This guide provides education. Use the official CIPC service for registration and its support for official account or application issues. Educational questions can be sent through the separate enquiry section below.

Quick quiz: check your learning

Answer all five questions, then review the explanations. Your score is a learning check, not an official certificate or a compliance assessment. No name, email or account information is required. Scores stay in your browser unless you choose to share them.
